Questions we are asked most often

Which terms make a commercial contract legally enforceable in Bulgaria?
A contract that is commercially sound should spell out clearly: who the parties are and in what capacity they act; the subject matter and its specifications; the price and how it is to be paid; the deadlines for delivery or performance, with penalty clauses in case of delay; how disputes are to be resolved (court jurisdiction or arbitration); and the governing law. Under Bulgarian law, an ambiguous term is interpreted against the party that drafted it.
What are the ways to settle a commercial dispute in Bulgaria?
You can negotiate, go to mediation, use arbitration (domestic, at the BCCI, or international) or litigate before the Commercial Divisions of the District Courts. At first instance, a court case usually lasts 1–3 years. Where a money claim is undisputed, the payment order procedure under Art. 410 CPC is considerably quicker.
