- How long does it take to register an OOD (LLC) in Bulgaria?
- Entering an OOD in the Commercial Register takes 3–5 business days, counted from the filing of a complete application. The share capital must be at least BGN 2 (approximately EUR 1). No residency requirement applies, so a foreign national may be both the sole owner and the director. Incorporation can also be done remotely, through a power of attorney that has been notarised and apostilled.
- Can one foreign national own a Bulgarian company outright?
- Yes. Foreign individuals and foreign legal entities may hold 100% of the share capital of a Bulgarian OOD or EOOD (single-member LLC), and no restrictions apply. The company can be managed remotely by its director. Nor does the director have to be physically present in Bulgaria for the Bulgarian bank account: it can be opened under a notarised power of attorney.
